Setting Up Business:

Over the past few years, Nepal has witnessed significant reforms in the commercial sector that have removed obstacles that previously hindered the establishment of both small and large-scale businesses.

Setting up a business in Nepal has never been easier, especially with the formation of the Investment Board (IB). For projects over NRS 10 billion, investors can now apply through IBN to simplify the development process. For projects below this threshold, interested parties should contact the Department of Industry https://www.doind.gov.np/.

Step 1:
Fill out the foreign investment approval form (in case of foreign investors). The approval of foreign investment can take up to a month, provided that all information required by the IBN is provided in the format requested. Form

Step 2:
IBN will issue a letter of approval for foreign investment.

Step 3:
Register the company at the Company Registrar’s Office (CRO). Documents required to register a company are as follows (form). Step 4:
After obtaining approval for foreign investment, the industry is required to register with the Department of Industry in the requested format. (Industry Registration form Nepali). The following documents are required to register a company within an industry. (Industry Registration Documents)

Step 5:
The industry has to be registered with the District office of the Inland Revenue Department or Inland Revenue Office (IRO) before its operation. In order to get PAN, there is no fee or deposit imposed. The following documents are required. (Form)
