Annual Financial Statement Filing :

The managing director(s), or the legal representative(s) of NV’s, VBA’s and AVV’s, is/are legally required to file the annual financial statements at the Aruba Chamber within 8 days after the General Shareholders’ Meeting’s approval.

The annual financial statements should be ready within 8 months after the financial year is completed. Due to exceptional circumstances, this term may be extended by max. 6 months in a General Shareholders’ Meeting.

Managing directors and supervisory board members, if applicable, shall all sign the financial statements (art. 36.1 and 36.2 lvVBA). In addition to the annual financial statements, a copy of the shareholders’ register is to be filed as well. This does not have to be done at the same time. A shareholders’ register can also be filed separately within 8 months after the financial year has concluded. There is no possibility for an extension period to file the shareholders’ register.

The financial statements and the shareholders’ register are not available for public inspection, unless explicitly authorized by the corporation.

Therefore, the Aruba Chamber will keep the information in a secluded area with limited access to its employees.

Contents of the annual financial statements:
** Balance sheet
** Profit & loss statement
** Notes to the balance sheet and the profit & loss statement
** Included as attachment: copy of shareholders’ register
** Registry form 16, available on https://arubachamber.com/pages/
** The financial year is stated in the company’s articles of incorporation.

Steps to file your annual financial statements:
1. Financial statements should be approved within 8 months after the financial year is completed.

2. In case the company requires extension of the term, the General Meeting of Shareholders must approve the extension through a meeting and document this decision in minutes. These minutes shall be deposited in the company’s file at the Aruba Chamber.

3. The company must then file the financial statements (signed by each director or commissioner) plus a copy of the shareholders’ register at the Aruba Chamber, within 8 days after approval of the financial statements together with registry form 16.

4. The Aruba Chamber will provide the company with a proof that the documents have been filed.

In addition to a business license, keep in mind that some types of businesses require additional licenses as well.

Company directors who are not born in Aruba nor have the dutch nationality need to apply for a director’s license at the Department of Economic Affairs.

Business registration is possible on Monday thru Friday from 8.15am – 11.30am and from 1.15pm – 2.45pm. Make an appointment here.

You can modify your company data, free of charge, from Monday thru Friday, between 1pm and 3pm. No appointment is necessary however, you need to download the appropriate modification forms from our website and fill them out completely before going to the Aruba Chamber.

After registration at the Aruba Chamber, remember to register the business at the Tax Department where your business will be registered automatically as well at the Aruba’s Social Security (SVb) and General Health Insurance (AZV).
